The “Terms and Conditions”, set out below are the only basis upon which Parent Approval, LLC will give you the rights to download and use its Software. If you download and use this Software provided through this website, you cannot make any changes to or any modification of these “Terms and Conditions”.

1. Acceptance of Terms and Conditions: The “Terms and Conditions”, hereafter referred as “TAC”, are the only basis upon Parent Approval, LLC will give you the rights to download and use the “Family Safety” Software for only personal use on a single computer. By registering on this website and downloading the Software you agree to be bound by all the TAC.

2. Parent Approval, LLC’s obligations to You: Subject to TAC and your registration on this website, Parent Approval, LLC will inform you of any changes to the TAC from time to time, remind you the availability of new and enhanced version of Software, and any update in FAQ section. FAQ section will be updated time to time based on the queries received by Parent Approval, LLC.

3. Your Obligation to Parent Approval, LLC: You are aged 13 or over, and will use this Software in good faith, carefully and in responsible manner for lawful purpose so that it does not infringe the rights of or restrict or inhibit others to use internet services. You will not allow anyone else to use your registration account to download the Software.

4. Understanding the Security and Privacy: You are responsible for maintaining the confidentiality of your registration account. You are also responsible for confidentiality of “Approval Password”. You understand that to use “Parent Approval” aspect of this software, children must use the limited accounts on a computer. If children use administrator account, they may uninstall the software.

5.Parent Approval, LLC’s Proprietary and IP Rights: You acknowledge and agree that “The Contents” including but not limited to (a.) Text, (b.) Software, (c.) Illustrations, and (g.) the Concept presented through this website by Parent Approval, LLC, are protected by Patents, copyrights, trademarks or other proprietary rights and laws. The unique and new Concept of Internet Family Safety, as presented by the website and Software, is a patent pending technology. You agree that Parent Approval, LLC retains and own all rights, title and interest in this IP Right, and that the TAC does not transfer or convey to you any ownership right, title and interest in or to the Content, Concept and IP Rights, and that you will not contest or challenge the ownership of the Content, Concept and IP Rights. You are authorized to use the Content and Concept by means of the Software and Illustrations only for your personal and non-commercial use.

6. INDEMNITY: You agree to hold harmless and indemnify Parent Approval LLC, its affiliates, officers, agents, and employees from and against any claim, suit or action arising from or in any way related to your use of the Software or your violation of these Terms and Conditions, including any liability or expense arising from all claims, losses, damages, suits, judgments, litigation costs and attorneys' fees, of every kind and nature.

7. DISCLAIMER OF WARRANTIES: YOU EXPRESSLY UNDERSTAND AND AGREE THAT;

a) YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK. THE SOFTWARE IS PROVIDED ON AN "AS IS" BASIS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARENT APPROVAL, LLC EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
b) PARENT APPROVAL, LLC DOES NOT MAKE ANY WARRANTY (I) THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, (II) THAT THE SOFTWARE WILL BE ERROR-FREE OR BUG-FREE, (III) REGARDING THE SECURITY, RELIABILITY, TIMELINESS, OR PERFORMANCE OF THE SOFTWARE, AND (IV) THAT ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
c) ANY CONTENT OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SOFTWARE IS DONE AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH CONTENT OR MATERIAL.
d) NONE OF THE SOFTWARE IS INTENDED FOR USE IN THE OPERATION OF NUCLEAR FACILITIES, LIFE SUPPORT SYSTEMS, EMERGENCY COMMUNICATIONS, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL SYSTEMS, OR ANY OTHER SUCH ACTIVITIES IN WHICH CASE THE FAILURE OF THE SOFTWARE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
e) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PARENT APPROVAL, LLC OR THROUGH THE SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS.

8. LIMITATION OF LIABILITY: YOU EXPRESSLY UNDERSTAND AND AGREE THAT PARENT APPROVAL, LLC SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PARENT APPROVAL, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SOFTWARE; (II) THE INABILITY TO USE THE SOFTWARE TO ACCESS CONTENT OR DATA; (III) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (V) ANY OTHER MATTER RELATING TO THE SOFTWARE. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Modification to TAC: Parent Approval, LLC reserves the rights to change the TAC or policies regarding the use of the Software at any time. Parent Approval, LLC reserves the right at any time to modify, discontinue, and charge a price for the Software with or without notice. You agree that Parent Approval, LLC shall not be liable to you or any third party for any modification to, discontinuance or price changed for the Software.

10. TAC Violations: Please report any violations to TAC to Parent Approval, LLC by sending email using “Contact us” section of this website.

11. Entire Agreement: These TAC constitute the entire agreement between Parent Approval, LLC and person who download the Software provided through the website. These TAC supersede any previous agreement or understanding between both parties.

12. Governing Laws: These TAC shall be governed in all respect by California law without reference to its conflict or choice of law, rules or principle. Both parties submit to the exclusive jurisdiction of the state and federal courts located in County of Santa Clara, California, USA.
